End User Licence Agreement.

This agreement is between you and David Goldie (ABN pending), trading as Datum, and covers your use of all Datum desktop software: Spool, Plate, Wrangler, Phosphor, Manifold, Oscillio, Muster, and Bisync. By installing or using the software, you accept these terms.

Licence Grant

Datum grants you a perpetual, non-exclusive, non-transferable licence to install and use the software on the number of devices stated at checkout. "Perpetual" means the version you received during your update window is yours to keep and use indefinitely. This is not a subscription and not a rental.

Each licence is per-seat. If multiple people need to use the software, each person needs their own licence. A single person may install on multiple personal devices up to the limit stated at checkout.

Update Window

Each purchase includes twelve months of updates from the date of purchase. During this window, you receive all new versions, features, and fixes through the built-in updater.

When the update window ends, the app keeps working at the last version you received. It does not downgrade, disable, or nag. You can renew the update window at any time to access newer versions.

Files Always Open

Any file you create, import, or modify with Datum software will always be readable by the app, regardless of your licence state. We do not lock, degrade, encrypt, or hold files hostage because an update window expired or a licence lapsed. Your data is yours.

Datum stores your work as standard files on your filesystem. We do not use proprietary containers that require the app to access your data. If a Datum app writes a file, that file belongs to you and remains usable outside the app wherever the format allows.

Free Apps

Spool is free. No licence key, no trial, no activation. This EULA still applies to Spool regarding acceptable use, intellectual property, and warranty terms.

Trial

Paid apps include a fourteen-day free trial with full functionality. No registration or account is required to start the trial. When the trial ends, a licence key is required to continue using the app. Your files remain intact and accessible regardless of trial status.

Bundle Licences

If you purchase the full Datum suite, you receive a single licence key that activates all paid apps. The update window applies to the entire bundle. Renewal renews all apps at once.

What You Can Do

• Use the software for any lawful personal or professional purpose.
• Install on the number of devices your licence covers.
• Make backup copies for archival purposes.
• Continue using the last version you received after the update window ends.

What You Cannot Do

• Reverse engineer, decompile, or disassemble the software, except where applicable law explicitly permits it.
• Redistribute, sublicence, rent, lease, or lend the software to others.
• Remove or alter copyright notices, trademarks, or attribution.
• Use the software to build a competing product by extracting its internal logic.
• Share your licence key publicly or with unlicensed users.

Intellectual Property

The software, its source code, design, documentation, and branding are the intellectual property of David Goldie. Your licence grants usage rights only. No ownership, copyright, or other intellectual property rights transfer to you.

The files you create with the software are yours. Datum claims no ownership over your work product.

Privacy And Telemetry

Datum does not collect telemetry, analytics, or usage data unless you explicitly opt in. The default is off. Initial activation or an explicit entitlement refresh may require an internet connection, but continued use of an already-entitled installed build does not depend on periodic online validation. No usage data is transmitted during activation or refresh beyond the licensing information needed to manage entitlement. See our Privacy Policy for full details.

Payments And Refunds

All payments are processed by LemonSqueezy as merchant of record. Licence issuance, activation, and update entitlement are managed by Datum. You can request a refund within fourteen days of purchase, no questions asked. Refunds are processed through LemonSqueezy. A refunded licence or update entitlement may be disabled by Datum. Bundle purchases are refunded in full; partial bundle refunds are not available.

Warranty Disclaimer

The software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We work to make the software reliable, but we do not guarantee it will be error-free or uninterrupted. Keep backups of important work.

Limitation Of Liability

To the maximum extent permitted by law, David Goldie and Datum are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the software, including but not limited to lost data, lost profits, lost time, or business interruption. Total liability under this agreement is limited to the amount you paid for the licence.

Indemnification

You agree not to hold David Goldie or Datum liable for any consequences arising from your use of the software in violation of these terms or applicable law.

Termination

You can stop using the software at any time. Uninstall it and your obligations under this agreement end, except for sections that survive termination (intellectual property, limitation of liability, governing law).

Datum may revoke your licence if you breach these terms. If your licence is revoked, you must stop using the software and delete all copies. Revocation does not affect your access to files you created; the "files always open" commitment applies even after termination.

If Datum Ceases Operating

If Datum ceases operating or is unable to continue development, your perpetual licence remains valid. The last version you received continues to work. Because the runtime entitlement model is local-first, an already-entitled installed build does not depend on continuous online validation. Datum will make reasonable efforts to provide any transition instructions needed if the licensing service is ever retired.

Changes To This Agreement

We may update this agreement when the product, pricing, or law changes. Material changes will be published before they take effect. Your continued use of the software after changes are published constitutes acceptance. If you disagree with a change, you may stop using the software, but your existing licence for the version you hold remains valid under the terms that applied when you purchased it.

Governing Law

This agreement is governed by the laws of New South Wales, Australia. Any disputes arising from this agreement will be resolved in the courts of New South Wales.

Entire Agreement

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Datum regarding the software. If any provision is found unenforceable, the remaining provisions continue in full effect.
